By accessing or using the AgoraFitness platform ("Agora," "we," "us," or "our"), a product operated by Fitote LLC, you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you may not use the platform.

These Terms apply to all users of Agora. Additional policies or terms presented to you in connection with specific features are incorporated into these Terms by reference.

You must be at least 18 years old to use Agora. We do not knowingly permit use of the platform by anyone under 18.

By using the platform, you represent and warrant that:

• You are legally able to enter into a binding agreement
• You understand the physical risks associated with fitness and exercise
• You are responsible for determining whether use of the platform is appropriate for you

Your use of Agora is also governed by our Privacy Policy, which explains how we collect, use, and protect your information. The Privacy Policy is incorporated into these Terms by reference.

Agora provides a subscription-based digital platform that delivers AI-powered fitness, nutrition, and wellness guidance based on methodologies contributed by independent coaches.

Important clarifications:

• Agora does not provide medical advice
• Agora does not provide 1-on-1 coaching or live coach supervision
• Coaches do not communicate directly with users
• All guidance is educational and informational only
• AI-generated responses may not be complete, accurate, or appropriate for every individual

Agora does not guarantee results, outcomes, or improvements of any kind.

Any nutrition-related content provided through Agora:

• Is not personalized medical nutrition therapy
• Does not replace advice from a registered dietitian or physician
• May not be appropriate for individuals with allergies, medical conditions, or medication interactions

Agora does not sell supplements and is not responsible for any third-party products discussed or referenced.

You acknowledge and agree that:

• Content on the platform is generated or assisted by artificial intelligence
• AI-generated guidance may be inaccurate, incomplete, or outdated
• You are solely responsible for how you interpret and apply any information provided

Agora is not responsible for decisions made based on AI-generated content.

• You must create an account using accurate and current information
• Accounts are personal and non-transferable
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• An active subscription is required to access paid features

We reserve the right to suspend or terminate accounts for violations of these Terms.

• Subscriptions are billed through secure third-party payment processors
• Subscriptions automatically renew unless canceled prior to renewal
• You can cancel at any time through your account settings, and cancellation takes effect at the end of your current billing period
• Fees are non-refundable except where required by applicable law

Agora is not responsible for errors or interruptions caused by third-party payment providers.

Agora uses commercially reasonable safeguards to protect content; however:

• Content delivered through third-party video platforms may be accessible if original URLs are obtained
• Screen recording or unauthorized copying cannot be fully prevented

Agora is not liable for unauthorized third-party access beyond its reasonable control.

You agree not to:

• Misuse the platform or use it for any unlawful purpose
• Share account access or transfer your account
• Violate intellectual property rights, including by copying, recording, or redistributing content
• Crawl, scrape, or use automated means to extract data or content from the platform
• Use the platform, or any Output, to develop, train, or improve a competing product or AI model
• Reverse engineer, decompile, or attempt to discover the source code or underlying models of the Services
• Circumvent or attempt to bypass any access, security, or subscription controls
• Resell, rent, or commercially exploit access to the Services or any content
• Introduce viruses or malicious code, or otherwise interfere with the proper operation of the platform

Violations may result in immediate termination without refund.

Agora may suspend or terminate your account at any time for violations of these Terms, abuse, fraud, or legal compliance.

You may stop using the Services and delete your account at any time through your account settings or by contacting us.

Termination may result in loss of access to content associated with your account. Termination does not limit Agora's right to pursue legal remedies. Sections that by their nature should survive termination will survive, as described in the General Provisions below.

The Services and all content are provided on an "AS-IS" and "AS-AVAILABLE" basis, without warranties of any kind, whether express or implied.

To the fullest extent permitted by law, Agora disclaims all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, secure, or that any Output will be accurate or reliable.

Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

To the maximum extent permitted by law:

• Agora shall not be liable for indirect, incidental, special, or consequential damages
• Agora's total liability shall not exceed the amount paid by you in subscription fees during the preceding 12 months

Some jurisdictions do not allow certain limitations; in such cases, liability is limited to the minimum extent permitted by law.

You agree to indemnify and hold harmless Agora, its officers, directors, employees, and partners from any claims, damages, or expenses arising from:

• Your use of the platform
• Your violation of these Terms
• Any injury, loss, or harm resulting from your participation

The Services may rely on or link to third-party services, such as payment processors and video hosting providers. Agora does not control and is not responsible for the availability, content, or practices of these third parties.

Your use of any third-party service is governed by that third party's own terms and privacy policy, and any dealings you have with them are solely between you and that third party.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

This section survives termination of these Terms.

• Survival: Provisions that by their nature should survive termination, including intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution, will survive.
• Assignment: You may not assign or transfer these Terms without our consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
• Entire Agreement: These Terms, together with the Privacy Policy, are the entire agreement between you and Agora regarding the Services.
• No Waiver: Our failure to enforce any provision is not a waiver of our right to do so later.
• Severability: If any provision is found unenforceable, the remaining provisions will remain in full force and effect.
